Terms and Conditions

This is a Referral Agreement between Illuminate Security Pty Ltd  and any affiliate partner that refers customers to Illuminate Security Pty Ltd. The first part of the agreement is the Contract Details, which are followed by the Legal Terms

Bluehat community participant or affiliate partner (Referrer)

Agreement summary

The terms and conditions of this agreement (Agreement) prescribe the terms governing the arrangement entered into between the Parties for the payment of referral fees (Referral Fee) in exchange for new customer referrals who engage the Company for the provision of its services.

Legal Terms

1. Customer Referral

1. Referrer agrees, from time to time, to refer prospective customers to the company for the provision of its services that the Company offers.

2. Each referral will be a qualified lead, as outlined in the definition in section 2, and has not been previously engaged by the company for the provision of its services.

3. Referrer is not obliged to refer any customers to the company and may enter into any other similar referral arrangement with other parties.

4. The company is not obliged to accept any potential customers referred by the referrer and may enter into any other similar referral arrangement with other parties.

2. Method of Referral

1. Referrals shall be in the form of an email to [email protected] FROM the referred party. The Referrer shall be CC’d so as to associate the referral with.

2. Illuminate security will acknowledge receipt and status of the referral in email within 7 days.

3. Compensation

1. Referral Payment is valid if the referred company commits to a Bluehat platform subscription within 4 months and within this period has made a full subscription payment to Illuminate security.

2. Referral Fee: In consideration of successful referrals, the Company agrees to pay the Referrer a referral fee equal to 10% of the total first-year only subscription fees paid by the referred customer to the Company (the "Referral Fee"). Up to a limit of $250,000 AUD per company.

3. This is a one time payment and the limit is unique to each referral provided that meets the criteria outlined for success.

4. No compensation will be paid for any additional revenue streams outside of subscription.

5. Payment Terms: Referral Fees will be paid within 60 days of the referred customer's payment receipt by the Company. Payment will be made to the Referrer's designated payment method in the Bluehat portal.

4. Privacy Protection

1. The Company agrees to keep all Referred customer information confidential in accordance with its Privacy Policy that can be found at https://www.illuminatesecurity.com/privacy-policy 

5. Restrictions

1. The company has placed a number of restrictions around the referral program. These restrictions are set out below under the Restrictions section.

6. No Agency

1. This agreement does not create any legal or fiduciary relationship between the parties

2. Referrer, its employees, servants or agents must not represent, convey or in any way make out to be an agent, partner, representative, employee, contractor or affiliate of the company

3. Neither party shall have any right, authority or permission to legally bind the other party to any contract, arrangement or obligation.

7. Term

1. The term of this Agreement shall commence upon the 13th October 2023 and terminate immediately upon notification from Illuminate Security Pty Ltd.

8. Indemnity

1. The Referrer agrees to indemnify the company against any loss, damage, liability or expense incurred directly or indirectly from

1. Breach of this agreement: or

2. Any negligent or wilful act or omission of the Referrer or anyone acting on the Referrer’s behalf.

9. General Provisions

1. The Company may amend this Agreement by giving notice to affiliate partners

2. Limit of one referral payment per company based on the first referral.

3. Referral is considered valid for 4 months from the date of submission. If the lead has not progressed to a customer within that time period the referral and any payment is void.

4. In the event that any provision of this Agreement is held to be invalid, illegal or unenforceable, then such provision will be fully severed and the Agreement will be construed and enforced without that severed provision

5. The rights created under this Agreement are non-assignable. For the avoidance of doubt:

1. no future Referral Fee will be due and payable to Reterrer if this Agreement is terminated pursuant to clause 7, whether the right to the Referral Fee arose prior to the termination or otherwise;

2. The relationship between the parties will be severed so that there is no longer an obligation to pay a Referral Fee.

6. ThIs Agreement Is governed by the laws of New South Wales Australia and the parties agree to submit to the exclusive jurisdiction of the courts of that State

10. Confidentiality

1. Non-Disclosure: The Referrer shall not disclose any confidential information of the Company to any third party during the term of this Agreement or at any time thereafter.

Restrictions

1. NOT ALLOWED: All other uses of banners or links, such as newsgroups, chat rooms, ICQ, message boards, banner networks, hit farms, counters, or guest books etc. are NOT allowed.

2. NOT ALLOWED: Any placement of creative in a "Desktop" advertising scheme. This includes any and all 3rd party advertising platforms that use a desktop application to display ads in any form.

3. NOT ALLOWED: Any display of a merchant window that isn't the result of a direct click by the end-user.

4. You cannot SPAM. We will terminate this agreement on the first offence of SPAMMING. Do not send email to lists or groups that you do not have permission to send to. 

5. You cannot send traffic from ads on Google Adwords / Bing etc.

6. Fraud is a serious offence, and will be treated as such. Fraud is defined as any action that intentionally attempts to create sales, leads, or click-throughs using robots, frames, iframes, scripts, or manually "refreshing" of pages, for the sole purpose of creating commissions. ANY ATTEMPTED FRAUD OR FRAUD WILL RESULT IN TERMINATION AND VOIDED COMMISSIONS.

7. Prohibited Employment: The Referrer acknowledges and agrees that they are not and will not be an employee, contractor, or agent of the Company Referral during the term of this Agreement. The Referrer is not authorised to represent the Company or enter into any agreements or commitments on behalf of the Company.

Failure to abide by these rules could mean termination from the partner program completely with a complete forfeit of payment.
